1. Acceptance of Terms
Welcome to Gibemart. These Terms of Use ("Terms") govern your access to and use of the Gibemart website (www.gibemart.com), the Gibemart consumer application ("Gibemart App"), the Gibemart Store application for merchants ("Gibemart Store App"), the Gibemart Deliveryman application for delivery personnel ("Gibemart Deliveryman App"), and all related services, features, content, and applications (collectively, the "Gibemart Platform" or "Platform"). By registering for, accessing, browsing, or using the Gibemart Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Gibemart Platform.
2. Definitions
"Gibemart," "we," "us," or "our" refers to the operator of the Gibemart Platform.
"User," "you," or "your" refers to any individual or entity using the Platform, including:
"Customers": Users who browse, purchase goods, or request services via the Gibemart App.
"Merchants/Stores": Businesses or individuals that list, sell, and fulfill orders for goods or services via the Gibemart Store App.
"Delivery Partners": Individuals or entities that provide delivery and logistics services using the Gibemart Deliveryman App.
"Content" includes text, graphics, images, music, software, audio, video, information, or other materials posted on the Platform.
3. The Gibemart Ecosystem
The Gibemart Platform is a multi-sided marketplace that connects:
Customers with Merchants to purchase a wide variety of goods and services.
Customers and Merchants with Delivery Partners for the delivery of those goods.
We facilitate transactions but are not the seller of goods, the provider of services (unless explicitly stated), or the employer of Delivery Partners. Contracts for sale are directly between Customer and Merchant. Delivery services are contracted between the ordering party (Customer or Merchant) and the Delivery Partner.
4. User Accounts and Responsibilities
Registration: You must register for an account specific to your role (Customer, Merchant, Delivery Partner) to access certain features. You agree to provide accurate, current, and complete information.
Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.
Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By registering as a Merchant or Delivery Partner, you represent you have the legal authority to operate a business or provide services.
Role-Specific Accounts:
Gibemart Store App: Merchant accounts are for business use only. Merchants are solely responsible for their product listings, pricing, inventory, order fulfillment, compliance with all laws (e.g., food safety, consumer rights), and customer service for their store.
Gibemart Deliveryman App: Delivery Partner accounts are for approved individuals only. Delivery Partners are independent contractors responsible for their mode of transport, insurance, taxes, and compliance with traffic and delivery laws. They are not our employees.
5. Transactions, Payments, and Fees
Pricing & Listings: Merchants set their own prices. We are not responsible for pricing errors. Merchants warrant that all listings are accurate and lawful.
Orders: Placing an order constitutes an offer to purchase. The Merchant has the sole right to accept or reject the order. Gibemart sends order confirmations electronically but does not guarantee the completion of any transaction.
Payment Processing: We may use third-party payment processors to facilitate transactions. You authorize Gibemart to charge your provided payment method for the total order amount (including item costs, delivery fees, taxes, and any tips). Payments to Merchants and Delivery Partners are settled according to separate payment agreements.
Fees: Gibemart may charge service fees to Customers, commission fees to Merchants, and/or transaction fees to Delivery Partners. These will be disclosed clearly within the relevant App or in separate agreements.
6. User Conduct and Prohibited Activities
You agree not to use the Gibemart Platform to:
Violate any local, state, national, or international law.
Infringe upon the intellectual property, privacy, or other rights of any third party.
Post false, fraudulent, misleading, or defamatory content.
Sell illegal, counterfeit, stolen, or harmful goods.
Harass, abuse, or harm another person.
Transmit viruses, malware, or any code of a destructive nature.
Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express permission.
Interfere with or disrupt the integrity or performance of the Platform.
Impersonate any person or entity.
7. Intellectual Property
Gibemart's Rights: The Gibemart Platform, its content (excluding User Content), features, functionality, and software are owned by Gibemart and its licensors and are protected by intellectual property laws. The "Gibemart" name, logos, and all related names are our trademarks.
User Content: By posting, uploading, or submitting any content (e.g., product photos, reviews, store logos), you grant Gibemart a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and modify such content solely for the purpose of operating, promoting, and improving the Platform.
Merchant & Delivery Partner Materials: Merchants and Delivery Partners grant Gibemart a license to use their business names, logos, and product information for listing and marketing purposes on the Platform.
8. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal information across the Gibemart Platform. By using the Platform, you consent to the practices described in the Privacy Policy.
9. Disclaimers and Limitation of Liability
"AS IS" Basis: THE GIBEMART PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
Third-Party Interactions: WE DO NOT WARRANT THE QUALITY, SAFETY, OR LEGALITY OF GOODS SOLD BY MERCHANTS, THE RELIABILITY OF DELIVERY PARTNERS, OR THE ACCURACY OF USER CONTENT. ALL TRANSACTIONS ARE AT YOUR OWN RISK.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIBEMART SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES WE HAVE COLLECTED FROM YOU IN THE PAST 6 MONTHS, OR (B) ONE HUNDRED DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Gibemart, its affiliates, officers, and employees from and against any and all claims, damages, losses, liabilities, and expenses arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any law or the rights of a third party (including, for Merchants, product liability claims); or (d) your User Content.
11. Termination
We may suspend or terminate your access to the Gibemart Platform at any time, for any reason, without notice, including for breach of these Terms. Upon termination, your right to use the Platform ceases immediately. All provisions which by their nature should survive termination shall do so.
12. Dispute Resolution
Governing Law: These Terms shall be governed by the laws of [Insert Your Jurisdiction, e.g., the State of California, USA], without regard to its conflict of law principles.
Informal Resolution: You agree to attempt to resolve any dispute with Gibemart informally by contacting our customer support team first.
Binding Arbitration: Any dispute not resolved informally shall be settled by binding arbitration administered by [e.g., the American Arbitration Association] under its Commercial Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via the Platform, email, or other reasonable means. Your continued use of the Gibemart Platform after the effective date of the revised Terms constitutes your acceptance of the changes.
14. General Provisions
These Terms constitute the entire agreement between you and Gibemart. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign your rights under these Terms without our consent.
